About the Role
We are seeking a skilled paralegal to support our boutique law firm’s private fund formation and securities practice. This role offers the opportunity to work on sophisticated legal matters in a collaborative environment while developing expertise in investment management law.
Key Responsibilities
- Prepare and organize fund formation documents and closing sets
- Coordinate document execution and signature processes
- Maintain client files and document management systems
- Assist with regulatory filings and compliance matters
- Conduct entity searches and due diligence research
- Coordinate with clients, service providers, and regulatory bodies
- Support attorney workflow and case management
- Assist with billing and time entry processes
Document Preparation & Management
- Format and finalize complex legal documents
- Prepare signature pages and closing checklists
- Organize virtual and physical closing processes
- Maintain deal databases and tracking systems
- Coordinate document distribution and archival
Client & Vendor Coordination
- Interface with fund administrators, auditors, and service providers
- Schedule meetings and coordinate due diligence calls
- Manage client communications and status updates
- Coordinate regulatory filings with state and federal agencies
Required Qualifications
- Paralegal certificate from an ABA-approved program or equivalent experience
- 2-5 years of paralegal experience in corporate or securities law
- Proficiency in Microsoft Office Suite and document management systems
- Strong organizational and time management skills
- Excellent written and verbal communication abilities
- Attention to detail and ability to work under pressure
- Ability to prioritize multiple projects and meet deadlines
Preferred Qualifications
- Experience with fund formation or securities law matters
- Knowledge of Delaware entity formations and governance
- Familiarity with regulatory filing processes (SEC, state securities regulators)
- Experience with e-signature platforms and closing software
- Background in financial services or investment management
- Advanced Excel skills for financial modeling support
Technical Skills
- Document management systems (preferably NetDocuments or similar)
- E-signature platforms (DocuSign, Adobe Sign)
- Microsoft Office Suite (advanced Word and Excel skills)
- Database management and reporting tools
- Basic understanding of legal research platforms
