Terms of Engagement

By checking the box below and submitting this form, you acknowledge and agree to the following:

Limited Scope of Representation. BlackHill Law PLLC ("Firm") is engaged solely to assist you with providing an accredited investor verification letter. This is a limited-scope engagement and does not create an attorney-client relationship for any other purpose.
No Other Representation. Without a separate, signed written engagement agreement, the Firm does not represent you in any other matter.
Conflict Waiver. Due to the limited nature of this engagement, you waive all prior and future conflicts of interest that may arise. You acknowledge the Firm may represent other parties, including issuers, funds, or other investors in the same or related transactions, and you consent to such representation.
Non-Refundable Fee. The verification fee is due upon submission and is non-refundable regardless of outcome. The Firm does not guarantee that a verification letter will be issued. If the documentation provided is insufficient or does not meet the applicable standard, no letter will be issued and no refund will be provided.
Income Representation. If you are seeking verification under the income test, you represent and warrant that you have a reasonable expectation of earning the required income threshold in the current calendar year.
Entity Submissions. If you are submitting as an entity qualifying on the basis that all equity owners are accredited investors, each owner will be required to submit their own documentation and pay a separate verification fee.
